They have purchased newer vehicles, much larger than the original ones. We live close to the cul-de-sac on our street and see the drivers' difficulty in turning the large trucks around. Perhaps those who leave for school or work don't realize or care that both garbage and recycle drivers are alone in their vehicles. The driver in the one who operates the lift device that picks up the barrel tips it upside down, allows the lid to open and the garbage to drop into the truck. If it's packed too tight in the barrel and the barrel has a lot of moisture, not all the contents might come out. If the cover is not closed because of overloading, the barrel is not emptied because part of its contents would drop on the customer's lawn, driveway, or street. The driver of the recycle vehicle must exit his vehicle, pick up the container and dump it into the truck. Now, let's say we have more than either container can hold normally. Would we call Republic a few days ahead and check if they could drop off a couple of extra containers? No, it's better to call a political official and raise all kinds of fuss. Yard trash vehicles have a driver and a pick-up man aboard. The driver will also help when necessary. If you have a yard full of brush or logs, if you call Republic, they will arrange to send a lift truck and operator to remove it. We are talking about 140,000 homes. The politicians are saying Republic is also expected to wash these containers as well. Are the customers supposed to supply the water? Come on, folks, who is getting them dirty? Waste Connections, Progressive Merger

In special meetings held yesterday, shareholders of Toronto-based Progressive Waste Solutions and The Woodlands, Texas-based Waste Connections approved the previously announced plan of merger between the two firms. The deal is now expected to close on June 1. Under the plan, originally announced in January, Progressive Waste, Water Merger Sub LLC, a wholly-owned subsidiary of Progressive Waste, and Waste Connections, Inc., a Delaware corporation will merge with Waste Connections continuing as the surviving corporation. The deal is valued around $2.7 billion. The two companies posted more than $4 billion in revenues in 2015. They rank fifth and sixth on the current Waste360 Top 100. After the tie-up, the combined entity will rank third. A transaction resolution received support from approximately 99.47 percent of the votes cast at Progressive’s meeting. A similar one received more than 99 percent of votes cast at Waste Connection’s meeting. The combined company is made up of 273 collection operations, 132 transfer stations, 93 landfills, 71 recycling facilities in solid waste and 24 SWD wells and 20 E&P treatment facilities, according to Stifel Managing Director Michael E. Hoffman. Progressive shareholders also passed a resolution approving a consolidation of the outstanding Progressive shares on the basis of one Progressive share on a post-Consolidation basis for every 2.076843 Progressive Shares outstanding on a pre-Consolidation basis. This resolution also received support from 99.47 percent of the votes cast at Progressive’s meeting.. Upon completion of the merger, Waste Connections stockholders will receive 2.076843 Progressive shares for each share of Waste Connections common stock. Immediately after completion of the merger, every 2.076843 Progressive shares will be converted into one Progressive share. After the merger and consolidation, Waste Connections stockholders will receive one post-consolidation Progressive Share for each share of Waste Connections common stock held immediately prior to the merger. Upon completion of the merger, Waste Connections stockholders will own approximately 70 percent of the combined company and Progressive shareholders will own approximately 30 percent of the combined company. The combined company will use the Waste Connections name and its shares are expected to trade on the New York Stock Exchange and on the Toronto Stock Exchange under the symbol "WCN." Hoffman reiterated his “buy” rating on Waste Connections in a research note, writing “The initial SG&A synergy goal in the first twelve months is $50mm with some upside expected. There has been a general assumption and some discussion about operational synergies with a focus on safety, maintenance & repairs and labor and productivity. We believe these efforts could contribute up to $75mm over three years. In addition we look for the NewCo to drive more price leverage in the US operations from BIN.

When Dunkin’ Donuts franchise owner Bill Mulholland wanted to reduce costs, he took a closer look at his garbage. About a year ago, he got a deal on a $400-a-month bio-digester—a commercial, dishwasher-size steel box filled with bacteria that converts food waste into sewage—from BioHiTech, a maker of the machines. Mulholland, who’d heard about the digester from a friend, also liked the idea of helping the environment by cutting down on garbage. Besides shaving a bit off his $550 monthly trash-hauling costs, the web-connected machine provides Mulholland with information to help him better run his business. “If we don’t have enough waste running through the machine, I know we don’t have enough product,” he says. “If we have too much, we are overbaking. Source: BioHiTech Extracting information from garbage was just what Frank Celli, the chief executive officer of BioHiTech, was after when he and his team devised a way to make the machines smart. “It occurred to me that waste was valuable,” says Celli, who as a teenager worked in his family’s garbage-hauling business in New York’s Hudson Valley. He could tell a lot about customers from their trash. BioHiTech started developing the web-connected digesters in 2013, adding an Intel processor, special software, and connectivity, and it began marketing the units in 2014. Since then, the company and a handful of competitors, including San Jose-based Power Knot and Canada’s Totally Green, have persuaded hundreds of businesses across the U.S., from Hilton Hotels to the Cheesecake Factory to the U.S. Army, to buy the units. Business owners and managers can track, via PC or a mobile app, how frequently the digesters are used, how much waste is digested, even which supplier the waste comes from. “It allows us to provide our customers with a level of transparency they can’t receive anywhere else,” Celli says. The companies sell and lease the machines. BioHiTech’s leasing fees range from $6,000 to $13,000 a year, depending on the size of the unit; the purchase price ranges from $23,000 to $42,000. A small digester—46 inches wide, 35 inches deep, and 50 inches high—processes up to 800 pounds of waste in 24 hours, according to Celli. BioHiTech estimates the market for its type of digesters could expand to more than 250,000 units used by businesses domestically, as cities and states grapple with better waste management and environmental regulations. Roughly one-third of food production globally is lost or wasted, according to the Food and Agriculture Organization of the United Nations. Ninety-five percent of that winds up in landfills, where decomposing scraps emit methane, a greenhouse gas that contributes to climate change. Last September the U.S. Environmental Protection Agency and the U.S. Department of Agriculture set a first-ever national goal of cutting food waste in half by 2030. “I really can see from afar if my store managers are doing a good job.” —Bill Mulholland, Dunkin’ Donuts Many states are pushing for reductions, too. A California law that requires businesses to arrange for recycling their organic waste started to take effect this year. Since 2014, Massachusetts has prohibited large waste producers, such as food processors and college campuses, from dumping food with the rest of their garbage. The efforts are similar to the move to adopt recycling in general, according to David Bodamer, an executive director at the trade publication Waste360. Some states lead the way, others follow. “The same thing is going to happen with food waste,” he says. BioHiTech’s Celli sees even greater opportunities to expand into larger machines and internationally. On May 16, the company, which is not yet profitable, announced that a subsidiary will focus on the municipal waste market. Last year it established a unit in the U.K. to exploit opportunities in Europe. The company hopes to sell 100 disposers in the U.K. in the next 24 months, and it’s also expanding in Singapore, Latin America, and Mexico. Totally Green, which turned a profit in the last year, could eventually expand beyond the U.S. and Canada. “We’re getting calls from all over the world,” says CEO Louis Anagnostakos. “People are starting to understand there are options to the truck, to the traditional waste-disposal methods,” he says
